Hello Andrew. As you know, the illiquid bonds were part of Worthy’s first offerings in 2018-2022; those bond sale proceeds backed loans to fund American small businesses, but the COVID pandemic significantly impacted the ability of some of those businesses to repay their loans to Worthy. While still working to recover funds from borrowers. Worthy is also pursuing a sale of unrelated assets to a third-party buyer to fund redemptions of outstanding bonds in the illiquid offerings. The SEC review of the sale is complete, so the process can now advance, but the duration will depend on financing, approvals, and other steps. Thank you for your continued patience.

Hello Christopher. While we understand your frustration, it is not our intention to keep your money from you; it's quite the opposite. Along with continuing to collect from the business borrowers who were impacted by the pandemic, Worthy is pursuing a sale of unrelated assets to a third-party buyer to fund redemptions of the remaining outstanding bonds. In fact, this past week, Worthy was able to make a disbursement to some of the affected bondholders from funds recovered from borrowers. If you haven't yet received a payment, it is only because we haven't reached your account, as all affected investors were queued based on factors such as the date they invested and the date they requested redemption of their bonds. We will notify you once your disbursement has been initiated; in the meantime, we only ask that you ensure your linked funding source is valid and up-to-date so that your payment can be sent seamlessly and efficiently once available.

To clarify, all offerings are drafted by outside law firms, rigorously reviewed and qualified for public sale by the SEC, and undergo annual financial audits by independent third-party auditors so we can assure you that everything Worthy does is lawful and “by the book”. The redemption pause you’re referring to affects earlier offerings that sold out years ago. Those portfolios were impacted by borrower defaults during and after the pandemic, leaving them without the liquidity to process redemptions as originally intended. These circumstances created the pause, not the use of new investor funds. Please understand also that funds have not been “stolen.” Your funds continue to accrue interest, which will be paid together with your principal once sufficient liquidity is restored. Worthy has entered into an agreement to sell unrelated assets to provide the capital needed to move redemptions forward; the sale has since cleared SEC review and is pending buyer action. The 7% bonds you refer to are associated with unrelated real estate offerings which have not experienced a single loan loss as those were not impacted by the pandemic. We understand how difficult it is to have funds tied up for this long, as many of our own employees and executives also have their savings invested in these paused offerings as well. Worthy remains committed to seeing the redemption process through and ensuring investors receive the full value of their holdings.

The redemption pause in the earlier offerings was the result of borrower defaults during and after the pandemic, which left those portfolios without the liquidity needed to process redemptions as originally intended. Please understand that funds have not been lost; Worthy has not declared any formal losses, and has repaid tranches to investors as funds are recovered from borrowers–in fact, another disbursement was just made last week. Your funds continue to accrue interest, which will be paid together with your principal once sufficient liquidity is restored. Worthy has also entered into an agreement to sell unrelated assets to generate the capital needed for redemptions, and that transaction has cleared SEC review and is now pending further steps on the buyer’s side. We know how discouraging it is to wait for progress and understand the impact it has had. Worthy remains committed to completing the redemption process and returning the full value of investors’ holdings.

Thank you for sharing your experience. To clarify, the redemption pause affects a small portion of our customer base who invested in earlier business bond offerings. These offerings sold out years ago, and the pause was triggered by loan defaults during and after the pandemic that left the portfolios without the liquidity needed to process redemptions. Worthy continues to work to recover those funds– and in fact just made another disbursement last week– and intends to continue recovery and repayment efforts. Please note that interest continues to accrue and will be paid out together with the final principal repayment once sufficient liquidity is available. Worthy remains committed to repaying the full value of your investment, including the $6,000 balance you referenced. While newer offerings are legally separate entities and by regulation their funds cannot be used to redeem bonds from past portfolios, continuing operations has been essential to keeping collectors and legal teams in place to recover assets and move the redemption process forward.
